The Shareholders' Meeting is the collegiate body which expresses the will of the Shareholders and which deliberates on the topics provided by current regulations and the Articles of Association.
The Shareholders' Meeting is opportunity for discussion between, on one hand, institutional investors and the generality of shareholders and, on the other, the Directors and management.
The Board of Directors plays a central role within the corporate organization and is responsible for the functions and liability of the strategic and organizational guidelines, as well as for verifying the existence of the controls required to monitor the performance of the Company and the companies of the group to which it heads. The Board of Directors is invested with all powers for ordinary and extraordinary administration, except for what is reserved for mandatory rules by law and by the Articles of Association to the Shareholders' Meeting.
